
Affiliate Program Agreement

1. Overview
This Affiliate Program Agreement ("Agreement") is entered into between HaltAlerts.org ("Company," "we," "us") and the individual or entity applying to participate in the HaltAlerts Affiliate Program ("Affiliate," "you," "your"). By submitting an application or participating in the program, you agree to be bound by the terms of this Agreement.
2. Program Description
The HaltAlerts Affiliate Program has two tracks. The Standard Affiliate Program is self-serve: sign up instantly, choose your own discount/commission split, and start sharing your code the same day. The Strategic Partner Program is for larger audiences: applicants choose their own split from a larger shared commission pool, the same mechanic as Standard Affiliate, then submit an application for HaltAlerts' review and approval. Both tracks receive a unique promo code and access to a dashboard to track referrals, earnings, and payouts.
3. Commission Structure
Standard Affiliate Program
- Standard Affiliate is a Premium member benefit. You must hold an active Premium subscription to join, and must keep holding one to keep earning — see the Premium-lapse rule below.
- You are eligible for the Affiliate Program as long as you are eligible to hold a Stripe account in your country of residence — commissions are paid out through Stripe, and not all countries qualify. HaltAlerts will let you know if your country isn't currently supported.
- You and HaltAlerts split a fixed 50% pool of each referral's payment. You choose how that half is divided for the referral's first three (3) months: a bigger discount for them means a smaller commission for you, and vice versa — the two always add up to 50%.
- Starting in month 4, the referral pays full price and you earn the full 50% pool, continuing through the referral's twelfth (12th) paid month. Commission on that referral's renewals after month 12 depends on the volume extension below.
- Once a referral passes its twelfth (12th) paid month, commission on that referral keeps paying only if you currently have at least 1,000 actively-subscribed referred users — checked continuously, not fixed at any point in time. Cross that threshold and you keep earning the full 50% on every referral you've ever brought in, with no expiration, for as long as you stay above the line. Drop back below it and only the referrals already past 12 months pause, until you're back over the line — referrals still inside their first 12 months are never affected either way.
- If your own Premium subscription lapses, commissions already recorded for payments processed before the lapse are not clawed back. Commissions on your referrals' future payments stop accruing while your Premium subscription is inactive. If you resubscribe to Premium, commissions resume prospectively from that point — there is no back pay for the inactive period.
Strategic Partner Program
- The standard offer follows the same pool formula as Standard Affiliate, at better terms: you and HaltAlerts split a 40% pool of each referral's payment, and you choose how that's divided between their discount and your commission for the first three (3) months — your choice alone; there's no minimum commission you're required to keep.
- Starting in month 4, the referral pays full price and you earn the full 40% pool, continuing through the referral's twenty-fourth (24th) paid month — double the window of Standard Affiliate.
- You choose your split when you apply, and HaltAlerts reviews and approves it — this is not a negotiation, and there is no case-by-case commission rate outside the published pool. Strategic Partners keep their own named promo code rather than a shared one.
- Once a referral passes its twenty-fourth (24th) paid month, commission on that referral keeps paying only if you currently have at least 1,000 actively-subscribed referred users — checked continuously, not fixed at the time you were approved. Cross that threshold and you keep earning the full pool percentage on every referral you've ever brought in, with no expiration, for as long as you stay above the line. Drop back below it and only the referrals already past 24 months pause, until you're back over the line — referrals still inside their first 24 months are never affected either way.
- Unlike Standard Affiliate, an active Premium subscription is not required to become or remain a Strategic Partner. It is, however, highly advisable — you are expected to subscribe so you understand what you're selling.
Both programs
- Attribution and commissions apply exclusively to subscriptions purchased through Stripe on haltalerts.org. Subscriptions purchased through the Apple App Store or Google Play are not eligible — those platforms take their own commission before HaltAlerts ever receives the payment, and cannot carry a Stripe discount code.
- Commissions are calculated on the plan's standard list price, before any promotional discount applied by your code and before payment processing fees. Your code discounting the subscriber's price does not reduce your commission; it comes out of your own share of the pool (Standard) or is factored into your agreed rate (Strategic Partner) — either way, HaltAlerts' own share is unaffected by the discount you choose to give.
- No commission is earned on free trials, refunded payments, disputed charges, taxes collected, or subscriptions obtained through fraud or self-referral — you may not earn commission by referring your own account or an account you control.
- The referral discount is for new customers only. If someone with a prior HaltAlerts subscription cancels and later resubscribes under the same email, they do not receive another discounted period, even if a valid code is applied. You still earn your commission on that returning subscriber's payments as normal — only the discount is one-time per customer, not the commission.
- Commission rates, tiers, and structures may be adjusted by HaltAlerts at any time with thirty (30) days written notice to active affiliates. Changes to program defaults never alter the terms an existing affiliate already agreed to.
4. Recurring Commissions
Commissions recur for up to twelve (12) months per referral for Standard Affiliates, and up to twenty-four (24) months per referral for Strategic Partners — both extended indefinitely for an affiliate who maintains 1,000+ active referrals (see Section 3) — measured from each referred subscriber's initial signup date, provided this subscriber maintains an active, paid subscription throughout that period. If a referred subscriber cancels, downgrades to a free plan, or their payment fails, commissions on that subscription cease immediately. HaltAlerts is under no obligation to pay commissions on inactive, cancelled, or expired referral subscriptions.
5. Payouts
- All commissions are subject to a forty-five (45) day holdback period. Commissions remain in "pending" status for 45 days after the referred subscription payment. This holdback period exceeds the 30-day money-back guarantee to protect against refunds and chargebacks.
- Payouts are processed via Stripe. Affiliates must maintain a valid, connected Stripe account to receive payouts.
- Minimum payout threshold: $50.00 USD. Commissions below this threshold will accumulate until the minimum is met.
- Payouts are processed on a monthly basis, typically within the first 15 business days of the following month.
- If a referred subscriber requests a refund, initiates a chargeback, or cancels during the holdback period, the associated commission is automatically reversed and will not be paid.
- HaltAlerts reserves the right to withhold payouts pending investigation of suspected fraudulent activity, policy violations, or chargebacks.
- Affiliate is solely responsible for all taxes, fees, and reporting obligations related to commissions earned.
6. Affiliate Obligations
As an affiliate, you agree to:
- Promote HaltAlerts in a truthful, ethical, and professional manner consistent with applicable laws and regulations.
- Not engage in spam, misleading advertising, false claims, or any deceptive marketing practices.
- Not bid on HaltAlerts branded keywords (e.g., "HaltAlerts," "Halt Alerts") in paid search campaigns without prior written consent.
- Not use coupon/deal aggregation sites, browser extensions, or toolbar injections to claim referral credit.
- Clearly disclose your affiliate relationship in accordance with FTC guidelines and any other applicable disclosure requirements.
- Not engage in self-referral or create fake accounts to generate commissions.
7. Intellectual Property
HaltAlerts grants affiliates a limited, non-exclusive, revocable license to use HaltAlerts trademarks, logos, and marketing materials solely for the purpose of promoting HaltAlerts under this program. All intellectual property remains the exclusive property of HaltAlerts. This license terminates immediately upon termination of this Agreement.
8. Termination
- Either party may terminate this Agreement at any time with thirty (30) days written notice via email.
- HaltAlerts reserves the right to immediately terminate any affiliate account for violation of this Agreement, fraud, unethical conduct, or any activity that damages HaltAlerts' reputation or business interests.
- Upon termination, all pending commissions below the minimum payout threshold are forfeited. Commissions above the minimum threshold will be paid within 60 days of termination.
- Terminated affiliates must cease all use of HaltAlerts branding, marketing materials, and promo codes immediately.
9. Program Modifications & Discontinuation
HaltAlerts reserves the right to modify, suspend, or discontinue the Affiliate Program at any time, with or without cause, upon thirty (30) days written notice to active affiliates. In the event of program discontinuation, all earned commissions above the minimum payout threshold will be paid within 60 days. Continued participation after notice of changes constitutes acceptance of the modified terms.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HALTALERTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE AFFILIATE PROGRAM, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES. HALTALERTS' TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL COMMISSIONS ACTUALLY PAID TO THE AFFILIATE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
Affiliate agrees to indemnify, defend, and hold harmless HaltAlerts, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to Affiliate's participation in the program, violation of this Agreement, or Affiliate's marketing activities.
12. Independent Contractor
Nothing in this Agreement creates an employment, agency, partnership, or joint venture relationship between HaltAlerts and the Affiliate. Affiliate is an independent contractor solely responsible for their own taxes, insurance, and business expenses.
13. Confidentiality
Affiliate agrees to keep confidential all non-public information related to the program, including but not limited to commission rates, internal metrics, business strategies, and any proprietary data accessed through the affiliate dashboard. This obligation survives termination of this Agreement.
14. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of laws provisions.
Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved exclusively in the state courts located in Fort Lauderdale, Florida, or the United States District Court for the Southern District of Florida, Fort Lauderdale Division. Both parties hereby consent to the personal jurisdiction and venue of such courts and waive any objection to the convenience of such forum.
Prior to initiating any legal proceedings, both parties agree to attempt to resolve disputes through good-faith negotiation for a period of thirty (30) days following written notice of the dispute.
15. Entire Agreement
This Agreement constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior or contemporaneous agreements, representations, and understandings. Any amendments to this Agreement must be made in writing and communicated to the Affiliate via email or through updates to this page.
